Form S-4
The registration statement covering the shares issued in the merger, containing the full deal terms.
Also written: s4, merger registration statement
The S-4 combines a prospectus for the new shares with the proxy statement for the vote. It carries the target's audited financials, the valuation, the pro-forma capital structure and the risk factors.
It is the single most informative document in a de-SPAC, and it is usually amended several times in response to SEC comment.
