The registration statement for the IPO, and the first public sighting of a new SPAC.
Also written: s1, registration statement
The S-1 sets out the proposed structure: how much is being raised, the unit composition, the deadline, the sponsor and the management team.
It is amended, sometimes many times, before the SEC declares it effective. Plenty of S-1 filers never price at all.
